TERMS OF SERVICE
Ever Dwelling LLC d/b/a Neat Hive Cleaning
Version: October 23, 2026
Effective Date: October 23, 2026 upon publication, for bookings first accepted thereafter. Previously accepted one-time bookings and existing recurring service arrangements remain governed by their accepted terms. This publication does not change them retroactively; any later material change to an existing recurring arrangement requires advance notice before implementation.

For one-time bookings accepted under the September 28, 2026 Terms, that prior version remains available. The version accepted for the booking governs it.
Please read these Terms carefully. A one-time booking may be accepted through the methods in Section 2. Recurring service requires affirmative acceptance of the recurring offer terms before enrollment.
1. Who We Are and Scope
These Terms of Service ("Terms") are between Ever Dwelling LLC, doing business as Neat Hive Cleaning ("Neat Hive," "we," "us," or "our"), and the person or entity that books or receives services ("Customer," "you," or "your"). They govern cleaning and related services provided by Neat Hive, including recurring house cleaning, deep cleaning, move-in and move-out cleaning, Airbnb turnover cleaning, post-construction cleaning, commercial cleaning, and approved add-ons.
If you book for another person or a property you do not own, you represent that you are authorized to approve the service, grant access, and accept these Terms for the booking. A separate signed commercial agreement, proposal, or addendum may supplement or replace portions of these Terms.
2. Acceptance and Contract Documents
You must be at least 18 years old and have legal capacity to book. You accept these Terms for a one-time service by checking an acceptance box or clicking Book Now, affirmatively approving a written quote or proposal, or clearly agreeing during a documented phone, email, text, or portal booking. For recurring service, we will obtain affirmative acceptance of the recurring offer terms before enrollment; silence, a pre-checked box, merely leaving appointments on the calendar, or allowing work to begin is not the acceptance process on which we rely for recurring enrollment.
The agreement for a booking consists of the following documents, in this order of priority if they conflict:
- A signed proposal, addendum, or commercial service agreement.
- The booking confirmation or written quote, but only as to the property, service type, date or arrival window, frequency, price, extras, and text expressly labeled Accepted Special Instructions.
- The version of the service checklist and scope included in, attached to, or retained with the booking record at the time of acceptance.
- These Terms.
A routine confirmation does not override the cancellation, payment, claim, privacy, liability, or dispute provisions in these Terms unless a signed proposal or addendum expressly says so. A request in the Customer notes is not part of the agreed scope unless Neat Hive labels it as an Accepted Special Instruction. General website descriptions, images, estimated durations, and starting prices are informational and do not replace the specific booking confirmation or quote.
3. Services and Service Scope
We will use commercially reasonable care to perform the booked checklist and any Accepted Special Instructions. Neat Hive may recommend a service based on the information provided, but the Customer remains responsible for providing complete and accurate condition, size, access, and scope information. The confirmed scope and written exclusions control. Recurring cleaning is maintenance cleaning for a home in reasonable baseline condition; heavy buildup, detailed restoration, construction residue, or a substantially empty-property scope may require a different service or added time.
Only tasks shown in the confirmed checklist, extras, or written scope are included. Work that is not expressly included may require an added charge and schedule availability. Results may vary based on the property's condition, access, materials, age, maintenance history, clutter, staining, and other conditions outside our control.
Commercial services may be customized by location and may include separate pricing, supply, access, security, or insurance requirements. If a signed commercial proposal conflicts with these Terms, the signed proposal controls for that conflict.
4. Quotes, Pricing, and Changes in Conditions
Quotes and flat-rate prices are based on the information you provide, including property type, square footage, bedrooms, bathrooms, frequency, occupancy, pets, parking and access, current condition, photos, requested extras, and other relevant facts. You agree to provide complete and accurate information and to update us before the appointment if conditions change.
If the actual condition or requested work materially differs from the booking information, we may explain the difference and offer one or more options: adjust the scope, add time or personnel at an additional price, perform only the confirmed tasks that can reasonably be completed, reschedule to an appropriate service, or decline unsafe or impracticable work. We will seek approval before adding a material charge, except for charges already authorized by these Terms, such as a disclosed cancellation or lockout fee.
Estimated durations and arrival times are planning estimates, not guarantees. Unless the booking expressly states that service is hourly, the price is for the confirmed scope rather than a guaranteed number of labor hours. One labor-hour means one service person working for one hour; two service people working for one hour equals two labor-hours. Any added-time rate or cap will be shown in the quote or confirmation. We will seek approval before exceeding an approved cap. If timely approval cannot be obtained, we may stop at the cap and follow documented task priorities. Applicable taxes are added as shown at checkout or on the invoice.
5. Scheduling, Arrival Windows, Access, and Lockouts
5.1 Arrival windows
Scheduled times are arrival windows. Traffic, weather, earlier jobs, personnel availability, and safety conditions may affect arrival. We will make reasonable efforts to notify you of a material delay. A delay does not automatically entitle the Customer to a refund or credit, but you may contact us if the revised timing no longer works.
5.2 Access and parking
You must provide accurate access, parking, gate, alarm, elevator, building, and key instructions and ensure we can lawfully enter and work at the property. If someone is expected to be present, that person must be available during the arrival window. Hidden keys, lockboxes, access codes, and keys kept by service personnel are provided at the Customer's risk, subject to our duty to use reasonable care.
A lockout occurs when our personnel arrive within the confirmed arrival window but cannot obtain timely access or cannot safely begin for reasons within the Customer's control. Examples include an unavailable occupant, an incorrect code, a locked interior area required for the booked scope, an uncontrolled aggressive animal, or missing utility service. A full lockout fee applies only when we make a reasonable access attempt, wait at least 15 minutes, attempt to contact the Customer, and document the customer-controlled failure. Lockouts are subject to the fee schedule in Section 11.
6. Customer Responsibilities and Safe Working Conditions
Before and during service, the Customer must:
Provide safe, lawful, and reasonably unobstructed access to the booked areas.
Provide working electricity, running water, reasonable indoor temperature, and usable plumbing unless we agreed otherwise in writing.
Remove or clearly identify cash, jewelry, medications, firearms, confidential documents, collectibles, fragile or irreplaceable items, and anything with unusual monetary or sentimental value.
Secure pets that may escape, interfere with work, or act aggressively. A pet-related booking add-on does not mean we will handle, restrain, or clean animal waste unless that task was expressly accepted.
Supervise children and other occupants so they remain clear of wet floors, equipment, products, ladders, and active work areas.
Disclose known hazards, pests, mold, bodily fluids, needles, weapons, illegal substances, hazardous dust, damaged wiring, unstable fixtures, unsealed stone, specialty finishes, and manufacturer-specific cleaning restrictions.
Declutter enough for the selected service. We may clean around personal items, but extensive organizing, lifting, or moving is not included unless confirmed. The Customer is responsible for occupants, guests, contractors, property managers, and animals at the property. We are not responsible for delay, incomplete tasks, or reduced results caused by conditions that prevent reasonable access or safe performance.
7. Cleaning Products, Surfaces, Appliances, and Result Limitations
We generally provide ordinary cleaning tools and products unless the booking says otherwise. The Customer must disclose product sensitivities, allergies, material restrictions, or manufacturer instructions before service. If you ask us to use a Customer-supplied product, you represent that it is properly labeled and suitable for the intended surface; we may refuse to use an unfamiliar, unlabeled, or unsafe product.
Some surfaces and items can be damaged by age, ordinary wear, hidden defects, poor installation, prior misuse, improper sealing, sun exposure, corrosion, loose hardware, or earlier cleaning. Examples include natural stone, antique or refinished wood, painted cabinets, delicate metals, specialty appliances, cracked glass, loose blinds, fragile decor, electronics, and items with worn protective coatings. You must disclose known vulnerabilities and may be asked to provide manufacturer-approved instructions or products.
Unless expressly included, we do not promise removal of permanent stains, etching, discoloration, mineral deposits, mold, mildew, odors, pest residue, smoke residue, construction compounds, adhesive, paint, or damage. We do not perform regulated mold remediation, pest control, hazardous-material abatement, medical or biohazard cleanup, or repair work. Post-construction service does not include asbestos, lead, silica hazards, chemical hazards, or demolition debris unless handled under a separate written scope by properly qualified providers.
For appliance-interior service, appliances must be cool, safe, reasonably empty, and accessible. We do not disconnect gas, water, or permanently installed appliances. We may decline to move heavy furniture or appliances, climb beyond safe reach, or clean an item if the risk of damage or injury is unreasonable.
For move-out, turnover, or similar service, the Customer must identify items that must be retained. We may remove ordinary trash and items expressly designated for disposal. If an item's status is reasonably uncertain, we will seek clarification when practicable. Bulky-item removal, hazardous materials, excessive disposal, or hauling may be declined or separately quoted.
8. Photos, Records, and Customer Content
You may provide photos, videos, notes, checklists, and access information for quoting and service. You grant Neat Hive a limited license to use that content to prepare the quote, perform and verify the service, train or supervise service personnel, investigate claims, maintain business records, and comply with law. You represent that you have permission to provide the content.
By accepting these Terms and providing access for service, the Customer expressly authorizes Neat Hive and its Service Personnel to take reasonable before, during, and after photographs or videos of booked service areas. These records may document the home's condition on arrival and departure, work performed, completed areas, obstructions, pre-existing or newly observed damage, safety conditions, access issues, and items relevant to a complaint or claim. They may be used for quoting, task assignment, quality control, proof of work and condition, personnel training or supervision, customer support, insurance, dispute and claim handling, legal compliance, and business recordkeeping.
Operational photos and videos may incidentally include belongings or portions of the home that are reasonably within the service area. We will not intentionally photograph people, personal documents, computer or phone screens, private activities, exposed access codes, alarm details, or other information that is not reasonably relevant to the service. We may restrict access to, crop, blur, delete, or otherwise address unnecessary incidental capture when reasonably appropriate and consistent with legal, insurance, and recordkeeping obligations.
By accepting these Terms, the Customer also authorizes Neat Hive to select and use reasonably de-identified photographs or videos of serviced areas to demonstrate its work and promote its services. Permitted uses include Neat Hive's website, social-media accounts, portfolio, proposals, and digital or print advertising. Before public use, we will conduct a reasonable review and may crop, blur, edit, or omit content to avoid intentionally displaying a Customer's name, street address, exact location, people or faces, children, private documents or screens, access or security information, license plates, medications, financial information, or other details that reasonably identify a Customer or household. This authorization does not permit Neat Hive to attribute a testimonial, review, or endorsement to the Customer without separate permission.
The Customer grants this limited marketing permission on a nonexclusive, royalty-free basis for media created in connection with the service. If the Customer books for a property the Customer does not own or exclusively occupy, the Customer represents that the Customer is authorized to grant this property-media permission; it never authorizes the use of an identifiable person's image or likeness without that person's permission. A Customer may object to marketing use before service or withdraw permission for future marketing use at any time by contacting us. An objection does not restrict operational photography or operational records. After receiving an objection, we will stop new marketing use and make reasonable efforts to remove affected media from channels we control, but we cannot guarantee removal of copies previously shared, downloaded, cached, or reposted by others.
If you object to operational photography, notify us before service; because documentation may be reasonably necessary for safety, quality verification, or claims, we may modify or decline the service if an appropriate alternative cannot be arranged.
9. Payment Authorization and Charges
A valid payment method may be required to hold a booking. We may place a temporary authorization hold on the scheduled service amount before the appointment. A hold is not a completed charge. Unless a different written arrangement applies, the service charge is processed after service, typically overnight.
By providing a payment method, you authorize Neat Hive and its payment processor to charge the confirmed service price, approved additions, applicable taxes, and fees authorized under these Terms, including cancellation, rescheduling, no-show, or lockout fees. Optional tips are charged only as selected or separately approved.
If a charge fails, you must promptly provide a valid payment method. We may suspend future service until the account is current. You are responsible for reasonable collection costs allowed by law for undisputed past-due amounts. Please contact us promptly about a billing concern so we can investigate; this request does not waive any nonwaivable right to dispute a charge with your card issuer or under applicable law.
10. Recurring Services
Weekly, every-other-week, every-four-week, and other recurring schedules are continuous services that continue until canceled. Each completed visit is charged at the then-current confirmed price. Before enrollment, Neat Hive will clearly disclose the service frequency, per-visit price, payment authorization, cancellation methods and policy, that the service continues until canceled, and any promotion-specific minimum purchase obligation or price adjustment. These terms will be presented with the request for consent, affirmatively accepted, and included in a confirmation or acknowledgment the Customer can retain.
You may cancel future recurring appointments at any time by using the customer portal where available, emailing hello@neathivecleaning.com, texting or calling (971) 228-2646, or leaving a voicemail. Canceling a recurring schedule does not erase a charge already earned or a fee that applies to the next appointment under Section 11. No promotion-specific minimum purchase obligation or price adjustment applies unless the exact amount or a clear formula was separately disclosed and affirmatively accepted. If a promotion requires a stated number of completed recurring cleanings, canceling before that number is completed may make the disclosed promotional adjustment due.
Recurring pricing assumes the selected frequency. If you skip, postpone, or materially change visits, the next service may require a frequency adjustment, added time, or a different service level because more time has elapsed. We will disclose a material price or term change before it applies. For household recurring services, we will provide clear notice of a material change and cancellation instructions in a form you can retain, and you may cancel before the change takes effect.
11. Cancellations, Rescheduling, and Company Changes
All deadlines use Pacific Time and are measured in elapsed hours from the beginning of the confirmed arrival window. Same-day means any time after 12:00 a.m. Pacific Time on the calendar date of the appointment. Scheduled Service Price means the confirmed price for that appointment, excluding optional tips. Portal, email, SMS to the main business number, or voicemail notice is effective when submitted, sent, or recorded unless the sender receives an undeliverable notice. Only one cancellation, rescheduling, no-show, or lockout fee applies to an appointment; fees do not stack, and the same-day rule controls when categories overlap. The following schedule applies unless a signed agreement states a different policy:
| Notice or event | Fee |
|---|---|
| At least 48 hours before the appointment | No cancellation or rescheduling fee. |
| Less than 48 but at least 24 hours before | $50 to reschedule; $100 to cancel. |
| Less than 24 hours, but before the same-day period | For cancellation or rescheduling, the greater of $100 or 50% of the Scheduled Service Price. |
| Same-day cancellation or rescheduling; no-show; or qualifying lockout | 100% of the Scheduled Service Price. |
We may waive or reduce a fee in our discretion for a documented emergency, but a waiver in one instance does not change the policy for future appointments.
If Neat Hive cancels an appointment for its own reasons, you will not be charged a cancellation fee, and any payment collected solely for that canceled service will be refunded or released. We may reschedule or cancel because of weather, illness, emergency, safety, staffing, access restrictions, or other circumstances beyond reasonable control. An exception applies when an undisclosed condition that you knew or reasonably should have known about prevents safe performance when our team arrives and causes the loss of reserved service capacity. In that case, we may treat the appointment as a customer-caused same-day cancellation and charge up to 100% of the Scheduled Service Price, not an additional fee on top of that price, as described in Section 14. We are not responsible for indirect costs caused by a schedule change.
12. Satisfaction Guarantee and Re-Cleans
Our satisfaction guarantee applies to tasks that were included in the confirmed booking. Service Completion means the time our personnel depart after reporting the service complete, as shown in our service record or completion message. To request correction, notify us in writing within 48 hours after Service Completion by emailing hello@neathivecleaning.com or replying to a service email or text. Identify the specific affected areas and, when reasonably requested, provide photos or other information that helps us evaluate the concern. You are responsible for inspecting the service within that period even if you were away during the appointment.
For an eligible concern, we will return once to re-clean the affected booked areas at no additional labor charge, provided you give reasonable access within seven calendar days after reporting the concern. If a re-clean is impracticable, we may instead offer a service credit or partial refund that reasonably addresses the affected scope. Re-cleaning or an alternative remedy under this Section is the exclusive contractual remedy for an ordinary quality complaint to the extent permitted by law.
The guarantee does not cover:
Tasks, rooms, extras, or results outside the confirmed scope.
Permanent staining, wear, damage, odor, mold, mildew, mineral deposits, pests, or conditions that ordinary cleaning cannot correct.
Areas blocked by clutter, personal property, occupants, pets, unsafe conditions, or unavailable access.
A condition materially different from the information used for the quote when the Customer declined added time, scope, or price.
Areas altered, used, dirtied, repaired, or re-cleaned by the Customer or another person before we had a reasonable opportunity to inspect or correct them.
A missed re-clean appointment or refusal to provide reasonable access for the correction visit. Completed services are not automatically refundable. Refunds or credits are available only when Neat Hive offers them under this Section, a written agreement provides them, or applicable law requires them. Nothing in this Section limits rights or remedies that cannot lawfully be limited.
13. Damage, Breakage, Missing Items, and Claims
13.1 Prompt notice and investigation
Report suspected damage, breakage, or a missing item as soon as reasonably possible. Quality concerns remain subject to the 48-hour period in Section 12. For a property claim, we request notice within seven calendar days after service because delay may materially limit our ability to investigate. The seven-day request is an evidence-preservation preference, not an automatic forfeiture, especially when the issue was not reasonably discoverable earlier, and it does not shorten any nonwaivable legal deadline.
Provide the booking date, a description of the item and location, photos, proof of ownership or value when reasonably available, and any other information needed to investigate. Preserve the item and surrounding condition and give us a reasonable opportunity to inspect before repair, disposal, or replacement, except when immediate action is reasonably necessary to prevent further damage or address safety.
13.2 Property damage
If our negligent performance directly damages property, we may, after investigation and subject to applicable law and insurance requirements, arrange a reasonable repair, replace the affected item with a reasonably comparable item, or pay the item's reasonable repair cost or then-current fair market value. We do not pay for ordinary wear, betterment, upgrades, sentimental value, loss of use, or a full matching set when only one component is damaged unless applicable law requires otherwise or a reasonable repair cannot be achieved without addressing additional components.
We are not responsible for damage caused by pre-existing conditions, hidden defects, ordinary deterioration, improper installation, loose or unstable items, manufacturer defects, undisclosed material restrictions, Customer-supplied products used as directed, or a Customer's failure to secure or disclose a vulnerable item, except to the extent the damage was caused by our negligence or other liability that cannot be excluded.
13.3 Missing items and suspected theft
Secure valuables before service. A report that an item is missing does not by itself establish that Neat Hive or its personnel caused the loss. We will take a specific, timely report seriously, review available personnel statements and service documentation, and cooperate with a legitimate law-enforcement or insurance investigation as appropriate. We do not admit responsibility unless supported by the investigation. Nothing in these Terms limits liability for proven theft, fraud, willful misconduct, or other liability that cannot lawfully be limited.
14. Right to Refuse or Stop Service
We may refuse, pause, or stop service when conditions are unsafe, unlawful, abusive, unsanitary beyond the booked scope, materially different from what was disclosed, or likely to damage property or expose people or animals to unreasonable risk. Examples include aggressive animals, harassment, threats, weapons not safely secured, active infestation, needles, bodily fluids, human or animal waste, hazardous chemicals, suspected asbestos or lead hazards, unstable structures, extreme heat, loss of utilities, or illegal activity.
Before the appointment, tell us about known or reasonably discoverable hazards or out-of-scope conditions, including human or animal waste (including feces), bodily fluids, needles, hazardous materials, or active infestations, so we can assess the scope or arrange a qualified specialist. If such a condition was not disclosed, you knew or reasonably should have known about it, it prevents safe service when our team arrives, and we lose the reserved service capacity, we may treat the visit as a customer-caused same-day cancellation under Section 11. In that case, up to 100% of the Scheduled Service Price may be due, including when no prepayment was collected. Amounts charged for work already performed count toward, and not in addition to, the total Scheduled Service Price; no cancellation fee is stacked on top. We will document the condition and notify you promptly. If the condition was outside your control or could not reasonably have been known, we will work in good faith on a fair rescheduling or scope adjustment; our cancellation in that situation does not automatically trigger the full-price fee. Any unearned prepayment will be refunded or released as required by Section 11 and applicable law.
15. Service Personnel
Neat Hive may use employees, teams, substitute personnel, or other Service Personnel who meet our operational requirements. A booking is with Neat Hive, not with a particular individual, unless a signed agreement expressly says otherwise. Personnel assignments may change because of availability, safety, scheduling, training, or business needs. Customers may not directly hire or pay Service Personnel to bypass Neat Hive for a booked Neat Hive service. This restriction does not prohibit customary gratuities paid directly to Service Personnel.
16. Privacy and Communications
Our collection and use of personal information is described in the Neat Hive Privacy Policy. The Privacy Policy is separate from these Terms and is available through our website and booking flow.
Privacy Policy: View the Neat Hive Privacy Policy
You authorize transactional communications reasonably related to quoting, scheduling, access, service, payment, safety, account administration, and changes to an ongoing service. If you consent to text messages, you may reply STOP to stop eligible texts; message and data rates may apply. Opting out of texts does not cancel a booking or recurring schedule, and you must keep another workable contact method available.
Marketing emails or texts are governed by any separate marketing consent and applicable law. Consent to marketing is not a condition of purchase. You may use the stated unsubscribe or opt-out method for marketing. Transactional notices, including a material change to recurring-service terms, may still be sent when legally permitted or required.
17. Site and Account Use
If you create an account, you are responsible for the accuracy of your information, the confidentiality of your login credentials, and activity conducted through your account. Notify us promptly of suspected unauthorized access. Do not misuse the Site, interfere with security or operations, introduce malicious code, impersonate another person, violate law, or use Site content beyond ordinary personal or business evaluation of our services.
The Site, brand, logo, original text, images, checklists, and other content are owned by Neat Hive or its licensors and may not be copied or commercially exploited without permission, except as allowed by law. Third-party booking, payment, map, review, or communications services may have their own terms and privacy practices.
18. Disclaimers and Limitation of Liability
Except for the express satisfaction guarantee and duties imposed by law, services and the Site are provided without an additional warranty, express or implied. We do not guarantee a particular aesthetic result, completion of tasks outside the confirmed scope, removal of permanent conditions, uninterrupted Site availability, or an exact arrival or completion time.
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost use, substitute lodging, or business interruption, arising from an ordinary contract or negligence claim. This exclusion does not apply where prohibited by law.
Except for payment obligations, a qualifying property-damage remedy under Section 13, and liability that cannot lawfully be limited, Neat Hive's aggregate liability arising from a particular service will not exceed the amount the Customer paid for that service. Each recurring visit is a separate service for this purpose. A qualifying Section 13 property-damage remedy is outside this amount-paid cap. These limitations do not apply to gross negligence, willful misconduct, fraud, personal injury where limitation is prohibited, proven theft, or any consumer right or remedy that cannot be waived under applicable law.
19. Indemnification
To the extent permitted by law, the Customer will indemnify and hold Neat Hive harmless from a third-party claim, loss, or reasonable expense arising from the Customer's material breach of these Terms, lack of authority to grant access, unlawful instructions, undisclosed hazardous condition, or negligent or willful conduct by the Customer, an occupant, guest, contractor, or animal. This obligation does not apply to the extent a claim was caused by Neat Hive's negligence, willful misconduct, or other nonwaivable liability.
20. Dispute Resolution, Governing Law, and Venue
Before filing a lawsuit, the parties should make a good-faith effort to resolve the dispute by sending a written description of the issue and requested resolution to the contact information in Section 23 and allowing 30 days for review, unless urgent court relief or a shorter legal deadline makes that impracticable. Either party may use small claims court when the claim qualifies.
Oregon law governs these Terms, without regard to conflict-of-law rules. Unless a signed commercial agreement provides otherwise or applicable law requires another forum, an action relating to these Terms or a service must be filed in a state court located in Multnomah County, Oregon, or the federal court with jurisdiction over that county. Nothing in this Section prevents a consumer from using a forum or remedy that applicable law makes nonwaivable.
21. Changes to These Terms
We may update these Terms prospectively to reflect legal, operational, pricing, safety, or service changes. Each published version will state an effective date and version date and be made available through our Site or booking flow. A one-time booking is governed by the version accepted for that booking. A change does not retroactively alter a completed service or a dispute that arose before the change.
For an existing recurring household service, we will provide clear notice of a material change before it takes effect, together with cancellation instructions in a form you can retain. We will obtain any additional affirmative consent required by applicable law. The update will not apply before the stated effective date, and you may cancel before it takes effect.
22. General Provisions
Entire agreement. The contract documents listed in Section 2 are the complete agreement for the booking and replace prior discussions about that booking, except for rights that cannot be waived.
Severability. If a provision is unlawful or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue.
No waiver. A delay or failure to enforce a provision is not a waiver. A one-time courtesy, refund, credit, fee waiver, or exception does not change future obligations.
Assignment. The Customer may not assign a booking or these Terms without our written consent. Neat Hive may assign these Terms in connection with a merger, sale, restructuring, or transfer of the relevant business, subject to applicable law.
Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control. Payment remains due for service already performed. Nothing in this paragraph expands a cancellation fee that would not otherwise apply under Sections 11 and 14, and circumstances outside the affected party's reasonable control will be evaluated under Section 14.
Electronic records. You agree that electronic acceptance, confirmations, invoices, notices, and records may satisfy writing and signature requirements to the extent permitted by law.
Headings and survival. Headings are for convenience. Provisions that by their nature should survive, including payment, claims, limitations, indemnification, disputes, and ownership, survive termination or completion.
